DECISIONS OF THE EXTRAORDINAY GENERAL MEETING OF SHAREHOLDERS OF THE PUBLIC COMPANY ŽEMAITIJOS PIENAS

 The public company ŽEMAITIJOS PIENAS hereby informs that it was resolved at the extraordinary meeting of shareholders of the public company ŽEMAITIJOS PIENAS held on 14 November 2019:1. to approve the participation of the public company ŽEMAITIJOS PIENAS in the reorganisation by way of merger by acquiring the public company Baltijos Mineralinių Vandenų Kompanija, legal entity code 141763534, that will cease its existence as a legal entity after the reorganisation by the public company ŽEMAITIJOS PIENAS that will continue to carry on its business and to instruct the board of the Company to prepare and to publish the terms of reorganisation under the procedure established in legal acts, as well as to perform other actions necessary for implementing this decision, without drawing up sets of interim financial statements;2. having regard to the fact that the public company ŽEMAITIJOS PIENAS is the sole shareholder of the public company Baltijos Mineralinių Vandenų Kompanija, to carry out the reorganisation of the public company ŽEMAITIJOS PIENAS and the public company Baltijos Mineralinių Vandenų Kompanija by way of merger under the procedure established in Article 70 of the Republic of Lithuania Law on Companies, i.e. without making an assessment of the terms of reorganization by way of merger and without organising an assessment of the terms of reorganisation by way of mergerThe terms of reorganisation of the public company ŽEMAITIJOS PIENAS and the public company Baltijos Mineralinių Vandenų Kompanija prepared under the procedure and within the time-limits prescribed in Article 70 of the Republic of Lithuania Law will be accessible on the website at www.zpienas.lt, www.tiche.lt and www.nasdaq.lt, also at registered offices of Companies: at the registered office of the public company ŽEMAITIJOS PIENAS at the address on Sedos g. 35, Telšiai, and at the registered legal office of the public company Baltijos Mineralinių Vandenų Kompanija at the address Mažeikių g. 4, Telšiai.Gintaras KeliauskasLawyerTel. + 370 444 22208, g.keliauskas@zpienas.lt
