SpotLite360 Announces Debt Settlement Transaction

DENVER and VANCOUVER, British Columbia, Dec. 21, 2022 (GLOBE NEWSWIRE) —  SPOTLITE360 IOT SOLUTIONS, INC. (“SpotLite360or the “Company”) (CSE: LITE) (OTC: SPLTF) (Frankfurt: 87A) announces that its board of directors has approved the settlement of an aggregate $78,375 of debt through the issuance of common shares of the Company (the “Debt Settlement”). Pursuant to the Debt Settlement, the Company issued 653,125 common shares of the Company (the “Shares”) at a deemed price of $0.12 per Share to a creditor of the Company.

All securities issued are subject to a statutory hold period which will expire on the date that is four months and one day from the date of issuance.

None of the securities issued in connection with Debt Settlement will be registered under the United States Securities Act of 1933, as amended (the “1933 Act”), and none of them will be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the 1933 Act.
