REGARDING REORGANISATION OF THE PUBLIC COMPANY ŽEMAITIJOS PIENAS AND OF THE PUBLIC COMPANY BALTIJOS MINERALINIŲ VANDENŲ KOMPANIJA

 The public company ŽEMAITIJOS PIENAS, upon becoming on a transaction basis the sole shareholder of the private limited liability company Baltijos Mineralinių Vandenų Kompanija (see an announcement within the Nasdaq announcement system)^[1] having been transformed into the public company based on the sole shareholder’s decision of 25 September 2019, informs that it was resolved by decision of the sole shareholder of the public company Baltijos Mineralinių Vandenų Kompanija held on 14 November 2019 :1. to reorganise the public company Baltijos Mineralinių Vandenų Kompanija that will cease its existence as a legal entity after the reorganisation by merging it with the public company ŽEMAITIJOS PIENAS for participation in the reorganisation by means of merger, by being acquired by the public company ŽEMAITIJOS PIENAS, legal entity code 180240752, that will continue to carry on its business, and to instruct the board of the Company to prepare and to publish the terms of reorganisation under the procedure established in legal acts, as well as to perform other actions necessary for implementing this decision, without drawing up a set of interim financial statements;2. having regard to the fact that the public company ŽEMAITIJOS PIENAS is the sole shareholder of the public company Baltijos Mineralinių Vandenų Kompanija, to carry out the reorganisation of the public company ŽEMAITIJOS PIENAS and the public company Baltijos Mineralinių Vandenų Kompanija by way of merger under the procedure established in Article 70 of the Republic of Lithuania Law on Companies, i.e. without making an assessment of the terms of reorganization by way of merger and without organising an assessment of the terms of reorganisation by way of merger.The terms of reorganisation of the public company ŽEMAITIJOS PIENAS and of the public company Baltijos Mineralinių Vandenų Kompanija prepared under the procedure and within the time-limits prescribed in Article 70 of the Republic of Lithuania Law will be accessible on the website at www.zpienas.lt, www.tiche.lt and www.nasdaq.lt, also at the registered offices of the Companies: at the registered office of the public company ŽEMAITIJOS PIENAS at the address on Sedos g. 35, Telšiai, and at the registered office of the public company Baltijos Mineralinių Vandenų Kompanija at the address Mažeikių g. 4, Telšiai, during business hours of the Companies.Gintaras Keliauskas Laywer Tel. + 370 444 22208, g.keliauskas@zpienas.lt
