Publication of statement by the Board of Directors in respect of the takeover offer to the shareholders of Bavarian Nordic from the consortium led by Nordic Capital and Permira

COPENHAGEN, Denmark, August 26, 2025 – With reference to Bavarian Nordic A/S’ (“Bavarian Nordic” or the “Company”) announcement of 26 August 2025 (no. 24/2025) regarding the publication of the offer document concerning the voluntary public takeover offer to acquire all of the issued and outstanding shares (except for treasury shares) in Bavarian Nordic made by Innosera ApS (the “Offeror” and such takeover offer, the “Offer”), a company controlled by Nordic Capital Fund XI1 and funds managed and advised by Permira Beteiligungsberatung GmbH, Bavarian Nordic today publishes the statement by the Board of Directors2 (the “Board Statement”) prepared pursuant to section 23 of the Danish Executive Order no. 614 of 2 June 2025 on Takeover Offers (the “Danish Takeover Order”) in connection with the Offer.

Luc Debruyne, Chair of the Board of Directors of Bavarian Nordic, said:
“Since 2018, Bavarian Nordic has successfully developed into a leading vaccine company and over the last couple of years, the company has received several unsolicited inquiries regarding a potential takeover bid. It is the board’s duty to investigate whether such inquiries could lead to a takeover bid that would create value for shareholders while also being in the best interests of the company. Together with our advisors we have thoroughly analysed the offer, which is the result of intense negotiations. Among other things, we have analyzed the fundamental value of the company, taking into account the company’s financials, performance and prospects on a stand-alone basis. The consortium has expressed an intent to support the company’s growth strategy with the needed capital and continue to build an attractive leading player in the vaccine market. The offer now provides shareholders with an opportunity to realize immediate and certain value at terms which, in the view of the Board of Directors, are attractive, and the board therefore unanimously recommend shareholders to accept the offer. Today, we have published a detailed statement on the offer and the board’s recommendation, which we encourage shareholders to read and consider before deciding on the offer.”

The Board Statement has been prepared in an original Danish version (as provided for in the Danish Takeover Order) and in an English translation thereof. In case of any discrepancies, the Danish original version of the Board Statement shall prevail.
