Program for betingede aktier

Bestyrelsen i ROCKWOOL International A/S har i dag, i overensstemmelse med vederlagspolitikken, der blev vedtaget på den ordinære generalforsamling 2020, besluttet at tildele Restricted Share Units, inklusiv fantom units (”RSUer”) til en gruppe på op til 75 medarbejdere bestående af Koncernledelsen og udvalgte ledende nøglemedarbejdere (”Deltagerne”). Formålet med programmet er at ensrette Deltagernes interesser med selskabets aktionærers interesser, at give Deltagerne et incitament til fortsat ansættelse, samt at fremme værdiskabelsen i selskabet.

Bestyrelsen har i alt tildelt Deltagerne 7.604 RSUer og ved udløbet af optjeningsperioden giver hver RSU indehaveren en ret til at modtage en ROCKWOOL International B-aktie, eller, i tilfælde af fantom units, et kontant beløb baseret på aktiekursen på tidspunktet for ombytningen. Dagskursen for hver RSU er DKK 2543,19 svarende til gennemsnitskursen for ROCKWOOL Internationals B-aktie i 15 dage frem til tidspunktet for beslutningen om tildelingen. Den samlede dagsværdi af RSU-tildelingen er EUR 2,6 mio.

RSUerne modner den 22. maj 2024. Efter udløbet af optjeningsperioden byttes de optjente RSUer til B-aktier med en nominel værdi på DKK 10. For så vidt angår fantom units foretages en tilsvarende kontantafvikling. Begge tildelinger er betinget af, at Deltageren fortsat er ansat i ROCKWOOL Koncernen.

Indehavere af RSUer har ingen aktionærrettigheder indtil overførslen af ROCKWOOL International B-aktier som følge af udløbet af den førnævnte optjeningsperiode. Information om gennemførte overførsler af B-aktier til registrerede ledelsesmedlemmer vil blive offentliggjort som selskabsmeddelelse ved udløb af optjeningsperioden, jf. MAR artikel 19, og inkluderet i ROCKWOOL International A/S’ vederlagsrapport for det relevante regnskabsår.

RSU-tildelingen er underlagt dansk ret samt vederlagspolitikken.

RSU-programmet har ingen udvandingseffekt for eksisterende aktionærer.
