Pro Kapital annab teada leedu tütarettevõtete ühinemisest

AS Pro Kapital Grupp teavitab investoreid kontserni kahe tütarettevõtte, PK Invest UAB ja tema täielikus omanduses oleva PK Bonum UAB, ühinemise algatamisest. Mõlema ettevõtte 29. juunil 2020 toimunud  omanike Üldkoosolekutel otsustati algatada kahe ettevõtte ühinemine. Ühinemise eesmärk on lihtsustada kontserni struktuuri. Mõlemad ettevõtted avalikustavad Leedus 21. juulil ühinemise tingimused seisuga 30. juuni.PK Bonum UAB on ettevõte, mille  100%-ne osalus kuulub PK Invest UAB-le. PK Invest UAB on Pro Kapital Vilnus Real Estate UAB 100%-ne tütarettevõte. Pro Kapital Vilnius Real Estate UAB on omakorda AS Pro Kapital Grupp 100%-ne tütarettevõte. Kuna PK Bonum UAB tegevus oli seotud ühe kinnisvara arendusprojektiga, mis on tänaseks edukalt lõpule viidud, otsustas emaettevõte, et PK Bonum UAB on tõhusam integreerida PK Invest UAB tegevusega. Kontserni strateegiana on tavapärane luua tütarettevõtted erinevate arendusprojektide jaoks. See võimaldab konkreetse arendusega seotud kulude ja tegevuste läbipaistvamat ja selgemat juhtimist. Kui arendusprojekt on lõpule viidud, on mõistlik liita kontserni struktuuri lihtsustamiseks spetsiaalselt asutatud tütarettevõte teise kontserni kuuluva ettevõttega. PK Bonum UAB arendas Vilniuses uut kortermaja, mis ehitati Šaltiniu Namai elamukvartalisse. See oli väga edukas projekt ja kvartalist on saanud tõeliselt hinnatud elukeskkond Vilniuse vanalinna piiril. Šaltiniu Namai uus arendusprojekt, mida nimetatakse Šaltiniu Namai Attico, on samuti klientide poolt väga hästi vastu võetud.Kuna PK Invest UAB omab 100% PK Bonum UAB aktsiatest, viiakse ettevõtete ühinemine läbi lihtsustatud korras vastavalt Leedus kehtivatele õigusaktidele. Pärast ühinemist jääb PK Invest UAB osakapital samaks ning kõik PK Bonum UAB varad, õigused ja kohustused võtab üle PK Invest UAB. Pärast ühinemise läbiviimist kustutatakse PK Bonum UAB Leedu Äriregistrist.Allan Remmelkoor
