      ·Aggiornamento del calendario eventi societari di TerniEnergia: management presentation webinar 4 marzo 2020 alle ore 18.00TerniEnergia, smart company quotata sul mercato telematico azionario (MTA) di Borsa Italiana e parte del Gruppo Italeaf – facendo seguito a quanto comunicato in data 30 ottobre 2019, 3 dicembre 2019 e in data 20 febbraio 2020 – comunica che, in data odierna, è stato iscritto presso i Registri delle Imprese di Terni e Genova l’Atto di fusione per incorporazione di Softeco Sismat Srl in TerniEnergia Spa, stipulato in data 20 febbraio 2020.
Ai sensi dell’atto di fusione, la stessa diverrà efficace dal primo giorno del mese successivo alla data dell’ultima iscrizione dell’atto al competente Registro delle imprese, quindi dal 1 marzo 2020 (la “Data di Efficacia della Fusione”), ma le attività di Softeco saranno imputate al bilancio di TerniEnergia con decorrenza 1 gennaio 2020. Dallo stesso giorno decorreranno anche gli effetti fiscali della Fusione.
Si rende noto, inoltre, che in linea con le misure di contenimento del rischio da contagio di coronavirus adottate dal Governo e dalle altre autorità, è stato annullato l’evento di presentazione della fusione tra TerniEnergia e Softeco programmato al Museo della Scienza e della Tecnologia “Leonardo da Vinci” di Milano per il prossimo 3 Marzo 2020 alle ore 11.00. La Società organizzerà comunque un WEBINAR in data mercoledì 4 marzo alle ore 18.00 sulla piattaforma http://www.investors-mag.it.
