GENERALVERSAMMLUNG GENEHMIGT ANTRÄGE DES VERWALTUNGSRATS

An der 53. ordentlichen Generalversammlung der Sika AG vom 20. April 2021 wurde allen Anträgen des Verwaltungsrats zugestimmt.

Die ordentliche Generalversammlung der Sika AG hat am 20. April 2021 in Zürich stattgefunden und wurde Live übertragen. Gestützt auf die Verordnung des Bundesrates zur Bekämpfung des Coronavirus war eine persönliche Teilnahme der Aktionäre erneut nicht möglich. Die Aktionäre konnten ihre Stimmrechte über den unabhängigen Stimmrechtsvertreter ausüben. Darüber hinaus wurde die Möglichkeit geboten, während der Generalversammlung live mündlich Fragen über eine Online-Plattform zu stellen.

  • Die Aktionäre haben die Jahresrechnung und die Konzernrechnung für das Geschäftsjahr 2020 genehmigt.
  • Des Weiteren folgten die Aktionäre dem Antrag des Verwaltungsrats, für das Geschäftsjahr 2020 eine Bruttodividende von CHF 2.50 pro Aktie auszuzahlen.
  • Der gesamten Verwaltung der Sika AG wurde Entlastung erteilt.
  • Die Aktionäre haben alle bisherigen Mitglieder des Verwaltungsrats, mit Ausnahme von Frits van Dijk, der nicht mehr zur Wiederwahl antrat, sowie Paul J. Hälg als Präsident des Verwaltungsrats für eine weitere Amtsperiode von einem Jahr wiedergewählt.
  • Neu wurde Paul Schuler für die Amtdauer von einem Jahr in den Verwaltungsrat gewählt.
  • In den Nominierungs‐ und Vergütungsausschuss wurden Daniel J. Sauter, Justin M. Howell und Thierry F. J. Vanlancker gewählt.
  • Ernst & Young AG wurde als Revisionsstelle wiedergewählt.
  • Herr Jost Windlin wurde als unabhängiger Stimmrechtsvertreter wiedergewählt.
  • Im Rahmen einer nicht bindenden Konsultativabstimmung hiess die Generalversammlung den Vergütungsbericht 2020 gut.
  • Ferner genehmigte die Generalversammlung die künftige Vergütung des Verwaltungsrats und die künftige Vergütung für die Konzernleitung.
