Fortsættelse af incitamentsprogram

Schouw & Co. har i en årrække haft et aktiebaseret incitamentsprogram, hvis formål er at fremme værdiskabelsen i Schouw & Co. ved at sikre et stærkt interessesammenfald mellem de omfattede personer og selskabets aktionærer. I fortsættelse heraf har bestyrelsen besluttet at tildele 360.000 stk. optioner på følgende vilkår:Direktionen i Schouw & Co., omfattende adm. direktør Jens Bjerg Sørensen og direktør Peter Kjær, tildeles henholdsvis 45.000 og 15.000 stk. optioner. Øvrige ledende medarbejdere, herunder direktører i dattervirksomheder, omfattende 25 personer, tildeles i alt 300.000 stk. optioner.Optionerne kan udnyttes i en periode på 12 måneder efter offentliggørelsen af Schouw & Co. koncernens årsrapport for 2022.Hver option giver ret til køb af 1 stk. Schouw & Co. aktie a nom. 10 kr. Udnyttelseskursen er et gennemsnit af den noterede slutkurs de første fem børsdage efter offentliggørelsen af Schouw & Co. koncernens årsrapport for 2019 (483,56 kr.) med tillæg af 2% p.a. regnet fra den 13. marts 2020.De nye optioner har en samlet teoretisk markedsværdi på 15,9 mio. kr. beregnet efter Black & Scholes modellen med anvendelse af en 12 måneders historisk volatilitet baseret på daglige gennemsnitskurser (22,1%), en risikofri rente (-0,97% p.a.) og aktiekursen på udstedelsestidspunktet (483,56 kr.).Aktieselskabet Schouw & Co.Jørn Ankær Thomsen, Bestyrelsesformand
