Cramon osakkeenomistajien nimitystoimikunta ei tee ehdotuksia varsinaiselle yhtiökokoukselle

(“Boels“), joka on tehnyt vapaaehtoisen julkisen käteisostotarjouksen kaikista Cramon liikkeeseen laskemista osakkeista, jotka eivät ole Cramon tai sen tytäryhtiöiden omistuksessa, on pyytänyt Cramon hallitusta kutsumaan koolle ylimääräisen yhtiökokouksen päättämään yhtiöjärjestyksen muuttamisesta, hallituksen jäsenten lukumäärästä ja muutoksista hallituksen kokoonpanoon, hallituksen jäsenten palkkioista sekä osakkeenomistajien nimitystoimikunnan lakkauttamisesta.Cramon hallitus on 11.2.2020 kutsunut koolle ylimääräisen yhtiökokouksen pidettäväksi 10.3.2020. Tämän lisäksi Cramon hallitus on päättänyt siirtää Cramon varsinaisen yhtiökokouksen pidettäväksi myöhemmin ilmoitettavana ajankohtana. Näin ollen Cramon varsinaista yhtiökokousta ei tulla pitämään torstaina 26.3.2020. Cramon hallituksen koolle kutsuman ylimääräisen yhtiökokouksen valitsema uusi hallitus tulee päättämään uuden ajankohdan varsinaiselle yhtiökokoukselle myöhemmin. Varsinainen yhtiökokous on pidettävä viimeistään 30.6.2020.Osakkeenomistajien nimitystoimikunta on tänään päättänyt, ettei nimitystoimikunta tule tekemään ehdotuksia varsinaiselle yhtiökokoukselle.Cramo Oyj:n osakkeenomistajien nimitystoimikunnan kokoonpano on 28.11.2019 lähtien ollut:Fredrik Åtting, EQT Fund Management S.à r.l:n nimittämänäAri Autio, Rakennusmestarien Säätiön nimittämänäAnnika Ekman, Keskinäinen Eläkevakuutusyhtiö Ilmarisen nimittämänäVeli-Matti Reinikkala, Cramo Oyj:n hallituksen puheenjohtajaFredrik Åtting on toiminut nimitystoimikunnan puheenjohtajana.
