BE Resources Announces Completion of Debt Settlement

TORONTO, June 19, 2020 (GLOBE NEWSWIRE) — BE Resources Inc. (TSXV: BER.H) (“BE Resources” or the “Company”) announces that following an earlier announcement in its May 12, 2020 news release,  it has received the approval of the TSX Venture Exchange (“TSX-V”) for the shares for debt transaction to settle the aggregate of $39,971.35 in indebtedness of the Company to Keyser Soze Services Limited (the “Support Creditor”) through the issuance to the Support Creditor of 592,168 common shares of the Company (the “Settlement Shares”) at a deemed price of $0.0675 per Settlement Share (the “Debt Settlement”). Accordingly, the Company announces that it has completed the Debt Settlement. The Settlement Shares are subject to the statutory hold period of four months and a day.
Related Party TransactionsThe issuance of Settlement Shares to Support Creditor, a corporation controlled by Carmelo Marrelli, Chief Executive Officer and director of the Company, in connection with the Debt Settlement is considered a “related party transaction” pursuant to Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101“). The Company is relying on an exemption from the formal valuation requirements of MI 61-101 available on the basis of the Company not being listed on a specified stock exchange, including the Toronto Stock Exchange, the New York Stock Exchange, the American Stock Exchange, the NASDAQ and certain overseas exchanges. The Company is also relying on the exemption from minority shareholder approval requirements under MI 61-101, as the fair market value of the Common Shares issued to the Support Creditor under the Debt Settlement does not exceed 25% of the market capitalization of the Company, as determined in accordance with MI 61-101.Early Warning ReportsPrior to the closing of the Debt Settlement, Mr. Marrelli beneficially owned 2,119,751 common shares of the Company (the “Common Shares”) (or approximately 40.7% of the total issued and outstanding Common Shares).Following the completion of Debt Settlement, Mr. Marrelli beneficially owns 2,711,919 Common Shares (or approximately 46.8% of the total issued and outstanding Common Shares on a partially diluted basis).The Settlement Shares were acquired by Mr. Marrelli for investment purposes, and depending on market and other conditions, he may from time to time in the future increase or decrease his ownership, control or direction over securities of the Company through market transactions, private agreements, or otherwise.
