Arco Vara AS aktsiate ülevõtmispakkumine

Arco Vara AS („Arco Vara“) enamusaktsionär OÜ Alarmo Kapital teavitas 02. märtsil 2021 kohustuslikust ülevõtmispakkumisest kõigi Arco Vara aktsiate omandamiseks. Aktsiate ostuhind on 1,30 eurot ühe aktsia kohta. Arco Vara on emiteerinud kokku 8 998 367 nimelist lihtaktsiat, nimiväärtusega 0,70 eurot. Ülevõtmispakkumise tegemise hetkel on OÜ-l Alarmo Kapital 4 664 242 Arco Vara aktsiat, mis moodustab ligikaudu 51,8343% Arco Vara aktsiatest ning vastavate aktsiatega esindatud häälte koguarvust. Lisaks on OÜ-l Alarmo Kapital märgitud, kuid emiteerimata 390 000 Arco Vara aktsiat (äriregistris on aktsiakapitali suurendamise menetlus pooleli). Kui aktsiakapitali suurendamine registreeritakse, saab OÜ Alarmo Kapital osaluse suuruseks ligikaudu 53,83% aktsiakapitalist.Pakkumise aktseptimise tähtaeg algab 02. märtsil 2021 kell 10 ja kestab kuni 31. märtsini 2021 kell 16:00 (Eesti aja järgi).  Arco Vara aktsiate ostuhinna tasumine ja ülekandmine toimub 07. aprillil 2021.
