Level One Bancorp, Inc. Completes $30.0 Million Subordinated Notes Offering

FARMINGTON HILLS, Mich., Dec. 19, 2019 (GLOBE NEWSWIRE) — Level One Bancorp, Inc. (NASDAQ: LEVL) (“Level One”) announced today that it has issued $30.0 million aggregate principal amount of fixed-to-floating rate subordinated notes (the “Notes”) in a private placement transaction.  Level One intends to use the net proceeds of the offering for general corporate purposes, including partially funding its pending acquisition of Ann Arbor State Bank.
The Notes mature December 18, 2029 and bear interest at an initial fixed rate of 4.75% per annum. From and including December 18, 2024 to but excluding the maturity date, the Notes will bear interest at a floating rate, reset quarterly. Level One will be entitled to redeem the Notes, in whole or in part, on any interest payment date on or after December 18, 2024, and to redeem the Notes in whole upon certain other events.Performance Trust Capital Partners, LLC served as placement agent for the offering, and Barack Ferrazzano Kirschbaum & Nagelberg LLP provided legal counsel to Level One.Special Note Concerning Forward-Looking Statements
