ELECSTER OYJ:N VARSINAISEN YHTIÖKOKOUKSEN PÄÄTÖKSET

Elecster Oyj:n varsinainen yhtiökokous on 27.4.2021 pitämässään kokouksessa vahvistanut vuoden 2020 tilinpäätöksen ja myöntänyt vastuuvapauden hallituksen jäsenille ja toimitusjohtajalle. 

Yhtiökokous päätti hallituksen ehdotuksen mukaisesti, että osinkoa maksetaan 0,28 euroa kultakin A- ja K-sarjan osakkeelta. Osingonmaksun täsmäytyspäivä on 29.4.2021 ja maksupäivä 6.5.2021.

Yhtiökokous vahvisti hallituksen ehdotuksen mukaisesti palkitsemisraportin.

Hallituksen jäsenmääräksi päätettiin kolme. Hallitukseen valittiin Jarmo Halonen, Jukka Halonen ja Hilkka Tuori. Yhtiökokous päätti, että hallituksen jäsenille maksetaan 12.000 euron suuruinen vuosipalkkio. Matkakustannukset korvataan Verohallinnon verovapaiden matkakustannusten korvauspäätöksen mukaisesti. Yhtiökokouksen jälkeen pitämässään kokouksessa hallitus valitsi puheenjohtajakseen Jukka Halosen.

Yhtiön tilintarkastajiksi valittiin KHT Jukka Lahdenpää ja KHT Veikko Terho. Varatilintarkastajaksi valittiin tilintarkastusyhteisö Moore Rewinet Oy. Tilintarkastajien palkkio vahvistettiin maksettavaksi kohtuullisen laskun mukaan.

Yhtiökokous valtuutti hallituksen päättämään omien osakkeiden hankkimisesta ja luovuttamisesta hallituksen esityksen mukaisesti.

Yhtiökokouksen pöytäkirja on nähtävillä yhtiön internet-sivuilla viimeistään 7.5.2021 alkaen.
