Healthcare Capital Corp. Announces Closing of Upsized $275,000,000 Initial Public Offering

Wilmington, DE, Jan. 20, 2021 (GLOBE NEWSWIRE) — Healthcare Capital Corp. (the “Company”) announced today that it closed its upsized initial public offering of 27,500,000 units at $10.00 per unit, including 3,500,000 units issued pursuant to an exercise by the underwriters of their over-allotment option, resulting in gross proceeds of $275,000,000.The Company’s units are listed on the Nasdaq Capital Market (“Nasdaq”) and commenced trading under the ticker symbol “HCCCU” on January 14, 2021. Each unit consists of one share of the Company’s Class A common stock and one-half of one redeemable warrant, each whole warrant entitling the holder thereof to purchase one share of Class A common stock at a price of $11.50 per share. Only whole warrants are exercisable and will trade.  Once the securities comprising the units begin separate trading, the shares of Class A common stock and warrants are expected to be listed on Nasdaq under the symbols “HCCC” and “HCCCW,” respectively.The Company was formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. While the Company may pursue an initial business combination target in any industry, it currently intends to concentrate its search for a target business operating in the healthcare industry, with a focus on digital and telehealth, life sciences, innovative medical devices and healthcare technology. The Company is led by Dr. David Milch, Chairman of the Board; William Johns, Chief Executive Officer and Director; and Philip A. Baseil, Chief Financial Officer.Cantor Fitzgerald & Co. acted as the sole book running manager for the offering.Of the proceeds received from the consummation of the initial public offering and a simultaneous private placement of warrants, $275,000,000 (or $10.00 per unit sold in the public offering) was placed in the Company’s trust account.
