                                                                                                                                                                                                                                                                                                                                                                                                                                             7. januar 2021                            SELSKABSMEDDELELSE NR. 01-2021                                                                                    SBS GROUP GENNEMFØRER SALGET AF SBS FRICTION Scandinavian Brake Systems A/S (”SBS Group”) gennemfører med virkning fra i dag, 7. januar 2021, det tidligere meddelte salg af divisionen SBS Friction A/S til italienske Brembo. Som følge af frasalget er de medarbejdervalgte bestyrelsesmedlemmer Jan B. Pedersen og Niels Christian Jørgensen samtidig fratrådt bestyrelsen i SBS Group.Aftalen om salget blev indgået og offentliggjort den 17. november 2020 i selskabsmeddelelse nr. 7/2020. Salget var betinget af godkendelse på en ekstraordinær generalforsamling i SBS Group og sædvanlige closing-forhold. Alle betingelser er nu opfyldt.Den samlede salgspris for selskabet SBS Friction A/S og domicil- og produktionsejendommen i Svendborg er som tidligere oplyst DKK 300 mio. (enterprise value), hvoraf DKK 224 mio. betales kontant, mens resten er forpligtelser, som Brembo overtager. Hele provenuet fra salget vil blive anvendt til at nedbringe SBS Groups rentebærende gæld. Reduktion af den rentebærende gæld er fortsat et fokusområde for SBS Group.Yderligere oplysninger:
