JZR Gold Inc. Closes Non-Brokered Private Placement Offering of Units

VANCOUVER, British Columbia, July 09, 2026 (GLOBE NEWSWIRE) — JZR Gold Inc. (TSXV: JZR) (OTCPK: JZRIF) (the “Company” or “JZR”) is pleased to announce that it has completed its previously announced non-brokered private placement (the “Offering”) of units (each, a “Unit”) at a price of $0.25 per Unit. Pursuant to the Offering, which was announced on June 22, 2026, the Company has issued 4,000,000 Units for aggregate gross proceeds of CAD$1,000,000.

Each Unit consists of one common share in the capital of the Company (each, a “Share”) and one common share purchase warrant (each, a “Warrant”). Each Warrant is exercisable into one additional Share (each, a “Warrant Share”) at a price of $0.35 per Warrant Share for a period of two (2) years from the date of issuance. The Company paid cash finder’s fees of $6,000 and also issued 24,000 non-transferable finder warrants (the “Finder Warrants”). The Finder Warrants are issued on the same terms as the Warrants.

The Units, Shares, Warrants, Warrant Shares and Finder Warrants are collectively referred to as the “Securities”. The Securities are subject to a hold period of four (4) months and one day from the date of Closing.

The Company intends to use the proceeds from the Offering to fund operations of the fully constructed 800 tonne-per-day gravimetric mill, and for general working capital purposes.
