WEST MINING ISSUES STOCK OPTIONS AND RSUS
Vancouver, BC, Jan. 15, 2024 (GLOBE NEWSWIRE) — West Mining Corp. (“West” or the “Company”) (CSE: WEST) (OTC: WESMF) announces that it has issued an aggregate of 550,000 stock options to consultants to the Company and an aggregate of 100,000 restricted share units (each, an “RSU”) to certain directors and officers of the Company. Each option is exercisable for one common share of the Company at a price of $0.26 for five years. The stock options and the RSUs vest immediately. The stock options, the RSUs and any common shares issuable thereunder are subject to a four month hold period in accordance with the policies of the Canadian Securities Exchange.
The issuance of the RSUs is considered to be a “related party transaction” as defined under Multilateral Instrument 61-101 (“MI 61-101”). It is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 as the fair market value of the transaction does not exceed 25% of the market capitalization of the Company, as determined in accordance with MI 61-101.
