Verkkokauppa.com Oyj YHTIÖTIEDOTE 24.4.2020 klo 8.15Verkkokauppa.com Oyj aloittaa omien osakkeiden hankinnanVerkkokauppa.com Oyj:n hallitus on päättänyt varsinaisen yhtiökokouksen 31.3.2020 antaman valtuutuksen perusteella aloittaa yhtiön omien osakkeiden hankinnan. Hankittava määrä on enintään 300 000 osaketta, mikä vastaa noin 0,67 prosenttia Verkkokauppa.com Oyj:n kaikkien osakkeiden lukumäärästä. Osakkeet hankitaan hankintahetken markkinahintaan Nasdaq Helsinki Oy:n ylläpitämällä First North Finland -markkinapaikalla järjestetyssä kaupankäynnissä. Omien osakkeiden hankinta aloitetaan aikaisintaan 11.5.2020 ja lopetetaan viimeistään 31.8.2020. Hankittavat osakkeet on tarkoitus käyttää pääosin hallituksen jäsenten vuosipalkkioiden osakeosuuden sekä avainhenkilöiden suoritusperusteisen lisäosakeohjelman palkkio-osakkeiden maksamiseen.Varsinainen yhtiökokous valtuutti 31.3.2020 hallituksen päättämään yhteensä enintään 4 506 513 oman osakkeen hankkimisesta yhdessä tai useammassa erässä yhtiön vapaalla omalla pääomalla. Yhtiön omia osakkeita voidaan hankkia yhtiön pääomarakenteen kehittämiseksi, yrityskauppojen ja muiden järjestelyiden rahoittamiseksi tai toteuttamiseksi, yhtiön mahdollisten kannustin- tai palkkiojärjestelmien toteuttamiseksi tai muutoin edelleen luovutettaviksi, yhtiöllä pidettäviksi tai mitätöitäviksi. Valtuutus on voimassa seuraavaan varsinaisen yhtiökokouksen päättymiseen saakka, kuitenkin enintään 30.6.2021 asti.Yhtiön omien osakkeiden hankintaan voidaan käyttää enintään 1,5 miljoonaa euroa. Yhtiön omat osakkeet hankitaan muutoin kuin osakkeenomistajien omistamien osakkeiden suhteessa yhtiön vapaalla omalla pääomalla.Yhtiökokouksen päätöksistä on kerrottu aikaisemmin yhtiötiedotteella 31.3.2020. Avainhenkilöiden pitkän aikavälin kannustinjärjestelmästä on kerrottu aikaisemmin yhtiötiedotteella 13.2.2020.Lisätietoja:
