KOMMUNIKÉ FRÅN WESTPAY AB EXTRA BOLAGSSTÄMMA

Westpay AB höll under torsdagen den 14 oktober 2021 extra bolagsstämma.

På stämman fattades följande huvudsakliga beslut. För mer detaljerad information om innehållet i besluten hänvisas till den fullständiga kallelsen till bolagsstämman och de fullständiga förslagen som finns tillgängliga på bolagets hemsida (Extra General Meetings – Westpay Investors).

Sammanfattning av besluten:

  • Bolagsstämman beslutade godkänna styrelsens beslut av den 23 september 2021 att uppta ett konvertibelt lån om nominellt 7,5 miljoner kronor genom en emission av 1 923 077 konvertibler till på förhand vidtalade investerare. Genom emissionen kommer antalet aktier i bolaget, vid full konvertering, att öka med ytterligare
    1 923 077.
  • Bolagsstämman beslutade att ändra punkt 8 i bolagsordningen genom att ta bort information avstämningsdag som en anpassning till lag. Därtill beslutade stämman dels om att införa en ny punkt i bolagsordningen angående insamling av fullmakter och poströstning samt om vissa icke-materiella ändringar hänförliga till formalia.
