Tiesa uz laiku aizliedz veikt izmaiņas AS “Olainfarm” padomes sastāvā

AS “Olainfarm” informē, ka Zemgales rajona tiesā ir ierosināta civillieta, kurā lūgts atzīt par prettiesiskiem un spēkā neesošiem pieņemtos lēmumus AS “Olainfarm” ārkārtas akcionāru sapulcē, kas tika atklāta 2020. gada 24. janvārī uzreiz pēc oficiāli izsludinātās sapulces ar mērķi panākt izmaiņas uzņēmuma esošajā padomē un valdē. Tiesa kā pagaidu aizsardzības līdzekli noteikusi aizliegumu veikt izmaiņas AS “Olainfarm” esošās padomes sastāvā. Tiesas lēmums nav pārsūdzams.
Jāatgādina, ka 24. janvārī AS “Olainfarm” vienīgā likumīgā ārkārtas akcionāru sapulce tika sasaukta plkst. 11.00, un tā nenotika kvoruma trūkuma dēļ. Kā publiski jau izskanējis, uzreiz pēc oficiāli izsludinātās ārkārtas akcionāru sapulces notika mēģinājums sasaukt vēl vienu sapulci ar mērķi veikt izmaiņas AS “Olainfarm” padomē un valdē. Jāuzsver, ka šī sapulce uzskatāma par viltus jeb alternatīvu sapulci, un tā netika izsludināta normatīvajos aktos noteiktajā kārtībā.Uzņēmuma AS “Olainfarm” vārdā Uzņēmumu reģistrā pat tika iesniegti dokumenti ar šīs sapulces lēmumiem, kurā it kā mainīta uzņēmuma padome un valde. Uzņēmumu reģistrs šīs izmaiņas nereģistrēja, norādot uz trūkumiem. Savukārt, tagad pēc tiesas piemērotā aizsardzības līdzekļa Uzņēmumu reģistra komercreģistrā ir ierakstīta aizlieguma atzīme, kas neļauj veikt izmaiņas padomes sastāvā saistībā ar 24. janvāra alternatīvās ārkārtas akcionāru sapulces lēmumiem par padomes atsaukšanu un/vai jaunas ievēlēšanu.Papildu informācija:
