NoHo Partners Oyj lunastaa 25 miljoonan euron hybridilainansa

NoHo Partners OyjNoHo Partners lunastaa 25 miljoonan euron hybridilainansaNoHo Partners Oyj ilmoittaa lunastavansa 29.3.2019 liikkeeseen lasketun 25 miljoonan euron hybridilainan (ISIN: FI4000375258). Lunastus suoritetaan 17.2.2020 hybridilainan ehtojen kohdan 7.3 (Disposal Event) mukaisesti lunastushinnalla, joka on 102 prosenttia pääoman määrästä lisättynä kertyneillä koroilla.VMP Oyj:n (“VMP”) ylimääräinen yhtiökokous hyväksyi 22.8.2019 NoHo Partners Oyj:n (”NoHo Partners”) tytäryhtiön Smile Henkilöstöpalvelut Oyj:n (”Smile”) osakekannan ostamisen (”Järjestely” tai ”Yhdistyminen”) osakevastiketta vastaan. Järjestelyn täytäntöönpanon ehdot ovat toteutuneet ja Järjestely toteutettiin 23.8.2019. NoHo Partners tiedotti Järjestelystä 5.7.2019. VMP:stä ja Smilesta (”Yhdistynyt yhtiö”) tuli NoHo Partnersin osakkuusyhtiö ja NoHo Partnersista tuli Yhdistyneen yhtiön suurin osakkeenomistaja 30,27 prosentin omistusosuudella. Smilesta tuli vastaavasti VMP:n tytäryhtiö, ja täten hybridilainan ehtojen kohdan 7.3 mukainen Disposal Event on tapahtunut. Tätä nykyä Yhdistynyt yhtiö toimii nimellä Eezy Oyj.Hybridilaina on laina, joka on yhtiön muita velkasitoumuksia heikommassa asemassa. Sitä käsitellään konsernin IFRS-tilinpäätöksessä omana pääomana. Hybridilainan haltijoilla ei ole osakkeenomistajalle kuuluvia oikeuksia, kuten oikeutta äänestää yhtiökokouksissa, eikä hybridilaina laimenna nykyisten osakkeenomistajien omistuksia.NOHO PARTNERS OYJLisätietoja:
